Attorney The candidate will provide legal and business counseling on a broad range of complex topics on a global scale to clients developing key business and marketing strategies for Microsoft. Will find creative solutions to complex business and legal issues, including use rights, pricing, and commercial terms for Microsoft’s products and services. Lead parts of Microsoft’s effort to modernize its licensing and transaction capabilities to unlock new go-to-market and sales scenarios. This effort will accelerate deal velocity and make it easier to do business with Microsoft by embracing the opportunities provided by Microsoft’s own digital transformation. Enable growth through novel licensing solutions and emerging business models, including Internet of Things (IoT), cloud offerings, and digital transformation. Develop and manage changes to the model agreements for Microsoft’s commercial business, incorporating best in class terms and smart risk management. Collaborate with legal department colleagues and policy specialists around the world on various legal and regulatory issues to help clients implement their business objectives while complying with applicable regulations. Relevant regulatory issues include privacy and data handling, trade and financial regulation, antitrust, and marketing and advertising regulation. Provide client and colleague education and training on relevant legal issues. Law degree (JD degree, LL.B. or equivalent) from accredited US law school with excellent academic credentials. Admission to and in good standing with the state Bar of one US state is needed. Should have 3-5 years of experience as a transactional lawyer at a law firm or in-house with experience in commercial licensing, cloud computing, software hosting, systems integration, or other complex technology transactions. Highly developed written and oral communication skill is needed. Experience in negotiating information technology agreements with large enterprise commercial and/or government entities are ideal. Experience taking on big challenges, learning from both successes and failures are desired. Project management experience with cross-functional teams to solve complex issues in a matrixed environment is ideal. Experience drafting (or redrafting) commercial agreements with a customer/partner focus for business simplification and to concentrate engagement on areas of impact and growth is desired. Experience advising on intellectual property, antitrust, data protection/privacy, and risk allocation issues are needed.
