General Counsel The candidate will be responsible for legal matters related to all of Concord’s business activities including hotel development, franchise agreements, management agreements, vendor contracts, lodging operations, dispute resolution, and compliance with local, state, and federal laws. The General Counsel will also be involved as a lawyer and business person directly in Concord’s business transactions and will be expected to interact with Concord’s existing and potential business partners. Oversees and directs the selection, retention, management and evaluation of all outside counsel to ensure proper handling of matters where counsel is retained, while shifting management of certain activities in-house. Oversees legal aspects of purchase and sale transactions, including management of outside counsel and participating in the negotiation of purchase and sales agreements. Drafts, reviews and participate in negotiation of operating, hotel management and project management agreements. Oversee the liquor license procurement process through the management of outside counsel and oversight of in-house resources. Oversees the formation, maintenance and dissolution of legal entities (200+) for the various development/ownership partnership structures. Provides advice to members of the various hotel executive teams about contract interpretations and disputes, and various other hotel operations related matters. Partners with Human Resources to ensure appropriate handling of employment issues concerning compensation plans, hiring, terminations, discrimination, wage & hour issues, disability accommodation, state and federal compliance and investigations. Acts as Corporate Compliance Officer; ensures compliance with laws, regulations and good corporate governance; anticipates and guards against legal risks and exposures to the company. Performs all functions of a corporate secretary, including coordination of meeting calendars and agendas, preparation of meeting materials, recordkeeping associated with board and committee meetings. Communicates and regularly coordinates with the parent company’s legal department. 5+ years of experience, J.D. from accredited school and membership in one state Bar are required. Should have ability to identify legal risks and consider alternative structures and strategies to accurately reflect commercial decisions and mitigate risk. Prior experience in real estate development and experience in hospitality are a strong plus.
