ProfileLegal Assistant Duties: Serves as legal and administrative assistant, responsible to: Review basic contracts and legal documents, sections of more complex contracts and legal documents, and internal memoranda and external correspondence, all as requested by DDD or any other attorneys on the Complex Gifts Team, organize and maintain the electronic and hard-copy files for the Complex Gifts Team, provide other administrative and clerical assistance to the DDD and the attorneys on the Complex Gifts Team, perform other duties as requested by DDD, all for the purposes of facilitating complex gifts, sales, and management issues, and improving the operations of Complex Gifts Team. Review, edit, and propose modifications to collateral documents, basic and complex contracts, and other documents as requested by the DDD or any attorney on the Complex Gifts Team. Draft, edit, and supervise the drafting and editing of basic due diligence department policies and procedures and recommendations of Team policies with legal ramifications, and draft portions of more complex policies, procedures, and recommendations as requested by the DDD or any attorney on the Complex Gifts Team. Draft internal memoranda and external correspondence, as necessary in connection with the performance of other duties or as requested by the DDD or any attorney on the Complex Gifts Team. Scan and file correspondence and documents received or produced by the DDD or any attorney on the Complex Gift Team. Review, summarize, and respond to email, telephone messages, and other correspondence and messages directed to the Complex Gifts Team as requested by the DDD or any attorney on the Complex Gift Team. Perform other tasks as assigned by the DDD in furthering the goals and efficiency of the Complex Gifts Team. Assist Due Diligence Attorneys in the review, preparation and updating of transactional and business related legal documents. Organize, prioritize, and assist with high-volume workload management from numerous sources. Provide quality control and consistency to outgoing Gift Packages. Prepare and send outgoing Gift Packages by mail, email, and DocuSign. Review packages of signed legal documents for completeness and accuracy. Provide quality control to the internal recording of received gifts. Record real estate deeds and arrange for payment of transfer taxes. Assist with annual business filings in multiple states. Interact with Outside Counsel and vendors in the provision of their services to NCF and its Supporting Organizations.
Qualification and Experience
Requirements: Experience in a Merger and Acquisitions or Tax group is a plus. Demonstrated research and analysis capabilities. Superior organizational skills and able to handle multiple projects at one time. Highly efficient, self-motivated, inclined to take initiative, and able to work independently with minimal supervision, while nevertheless careful to understand and follow instructions. High attention to detail. Understanding of financial concepts and business structures. Discrete and absolutely committed to confidentiality. Able to maintain pleasant demeanor and rapport with persons served (including attorneys, donors, staff, colleagues, advisors and others) on the phone and in person. Adept in the use of Microsoft Office applications to draft documents using Word, PowerPoint, Excel and Nuance Power PDF. Have and maintain a strong working knowledge of Microsoft Office Suite (particularly Word and Excel), various PDF platforms, Salesforce or other CRM, and ability to learn new systems quickly. Experience in a legal due diligence setting and document management responsibilities.
