A law firm seeks a mid-level Corporate Attorney with 3 to 7 years of experience to join its expanding corporate practice in the Buffalo office. The ideal candidate will have substantial experience handling transactional matters, including mergers and acquisitions, as well as general corporate work. Duties:

  • Manage and support the firm’s clients in mergers, acquisitions, and other corporate transactions, including asset purchases, stock deals, and joint ventures.
  • Draft, review, and negotiate corporate contracts, agreements, and other transactional documents.
  • Provide legal advice to clients regarding corporate governance, business structuring, and regulatory compliance.
  • Collaborate with clients to identify business opportunities and offer solutions tailored to their strategic goals.
  • Conduct legal research and analysis on various corporate law matters, including compliance with federal and state regulations.
  • Represent clients in negotiations, mediation, and other legal proceedings related to corporate matters.
  • Assist with due diligence for corporate transactions, ensuring accuracy and completeness of information.
  • Maintain strong client relationships, providing timely updates and ensuring high-quality legal services.

Requirements:

  • 3 to 7 years of experience in corporate law, with a focus on transactional work, including mergers and acquisitions.
  • Strong drafting, negotiation, and communication skills.
  • Proven ability to manage complex transactions and client relationships.
  • Exceptional analytical skills with the ability to navigate intricate legal issues.
  • A proactive, results-driven approach to legal practice.
  • Ability to work effectively both independently and as part of a collaborative team.

Education:

  • Juris Doctor (.) from an accredited law school.

Certifications:

  • Active membership in the state bar (New York preferred).

  • Strong proficiency in drafting corporate contracts and transactional documents.
  • Excellent negotiation skills with the ability to manage complex, high-stakes discussions.
