Associate General Counsel The candidate will be supporting for government business lines. Will be drafting, reviewing and negotiating a variety of government and commercial contracts and bid documents, including federal, state and local RFP’s and RFI’s, teaming agreements, Statements of Work (SOWs), NDAs, contract amendments, FOIA requests, bonds and insurance requirements, license agreements, distribution and supply agreements, and subcontracts with “flow down” terms. Strategically anticipating and mitigating bid protest vulnerabilities. General corporate matters including maintaining qualification to do business, annual report filings, business licenses, leases, and various general corporate matters. Oversight of outside counsel on government bid protests. Contract dispute resolution. Supporting compliance efforts and programs, with particular focus on organizational conflicts of interests, gifts/gratuities, and revolving door issues. Other matters as may be identified from time to time. Note that job duties are subject to change as directed by the General Counsel. Providing top-tier, proactive, accurate and effective legal support in a fast moving and highly pressured environment with minimal supervision. Providing legal support to various departments including Sales, Marketing, Business Development, Engineering, Finance, Human Resources, and Customer Service. Great communication is a must. JD degree from a top law school is needed. Admission to a state Bar. Should have 10+ years of experience in a top-tier law firm, government and/or dynamic in-house legal department; a combination of both law firm and government and/or in-house experience is strongly preferred. Should possess the skills, experience and resourcefulness to drive and close a variety of transactions in a fast-paced environment. Knowledge of government contracts and national security law is a plus. Knowledge and or experience with law enforcement and criminal justice system is a plus. Superior written and verbal skills are needed.
