Legal Counsel - Commercial The candidate will primarily support commercial contracts for the provision of firm's project businesses (including new equipment sales and associated services related to power generation) and suggest innovative ways to deal with contract requirements, negotiations, obligations, and risk exposures to our internal business partners. Will be expected to: i) have an exceptional business presence and demonstrate a very high professional judgment competence in an office and customer environment; ii) work effectively and cooperatively on multidisciplinary teams; and iii) to independently manage a multi-project workload simultaneously while effectively performing other professional duties. The ability to write, review, analyze, modify/resolve and negotiate routine to very complex contractual documents to achieve acceptable risk levels on a timely basis. Provide commercial legal support to our internal business sales teams in customer and home office settings. A comprehensive, authoritative (broad and deep) subject matter expertise and experience in the development and negotiation of complex, large scale: service contracts, engineering, procurement and construction agreements, consortium agreements and associated concepts and related matters involving turn-key construction contracts. Investigation, analysis and resolution of diverse matters related to EPC/consortium agreements, service agreements and project conflicts. Develop and present legal risk briefings for review and approval by executive management. The coordination of legal advice involving global legal colleagues and multiple firm's’ businesses. A workload which will be primarily ninety-five percent (95%) transactional in nature.
Qualification and Experience
The candidate should have Juris Doctorate degree. Must be currently admitted and maintain license to practice law in one or more states in the United States. Must have 7 years of legal experience drafting and negotiating complex EPC contracts, service contracts or commercial legal transactions in the energy and/or construction sector as a member of a law firm or corporate legal in-house position. Must be highly proficient technical skills in Microsoft Office Suite. Prior experience within power generation, energy, and/or utility industry is preferred. Proficient in the use of other computer software programs, such as SalesForce and SharePoint is desired.
