A law firm seeks a motivated Commercial Finance Associate to join its growing practice in St. Louis, MO. The ideal candidate will have a minimum of 1 year of experience in commercial lending transactions, including the drafting, negotiation, and closing of these transactions. The role offers the opportunity to work closely with a group of dedicated partners focused on training and development. The successful candidate will thrive in a fast-paced environment and take on increasing responsibility in managing multifaceted transactions.

Duties

  • Draft, negotiate, and close commercial lending transactions, with an emphasis on Article 9 secured transactions and inter-creditor arrangements.
  • Manage documentation and closing of transactions involving multiple equity investors and public/private partnerships.
  • Work with various transaction parties, including banks, private equity firms, state and local governments, and their counsel.
  • Handle tax-advantaged financing and tax credits when applicable.
  • Assist in real estate-related transactions and mergers and acquisitions as needed.
  • Provide support in structuring complex transactions and identifying potential issues and solutions.
  • Collaborate with senior partners and other team members to ensure smooth execution of transactions.
  • Maintain organized and accurate records throughout the transaction process.

Requirements

  • A minimum of 1 year of experience in drafting and negotiating commercial lending transactions.
  • Strong familiarity with Article 9 secured transactions and inter-creditor arrangements.
  • Experience with tax-advantaged financing, tax credits, real estate, or mergers and acquisitions is a plus.
  • Ability to manage multiple tasks and meet deadlines without becoming overwhelmed.
  • Strong interpersonal skills and the ability to work collaboratively in a team-oriented environment.
  • Self-starter with a proactive attitude toward professional growth and development.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Licensed to practice law in Missouri.
