A law firm in Richmond, VA, is seeking a Corporate Funds and Private Equity Associate Attorney with 4-6 years of experience in investment funds and investment management. The ideal candidate will have substantive experience representing private equity sponsors and/or agents in a wide range of transactions. Strong analytical and writing skills are essential. The candidate must be licensed and in good standing in the state of Virginia.

Duties:

  • Represent private equity sponsors and agents in diverse transactions, including fund formation, investment structuring, and portfolio management.
  • Provide expert legal advice on investment funds and management services, ensuring compliance with relevant regulations and industry standards.
  • Draft, review, and negotiate complex legal documents such as fund formation agreements, investment management agreements, and other transactional documents.
  • Conduct thorough legal research and analysis to support transactions and regulatory compliance.
  • Assist in structuring and executing private equity deals, including performing due diligence, negotiating terms, and managing closings.
  • Collaborate with clients and internal teams to devise and implement effective legal strategies.
  • Manage multiple projects and transactions simultaneously, demonstrating high attention to detail and organizational skills.
  • Keep abreast of industry developments, regulatory changes, and emerging trends in investment funds and private equity.

Requirements:

  • 4-6 years of experience in investment funds and investment management.
  • Proven track record in representing private equity sponsors and/or agents in a broad range of transactions.
  • Strong analytical skills with the ability to address complex legal issues and transactions.
  • Excellent writing and communication skills, with experience in drafting and negotiating detailed legal documents.
  • Licensed and in good standing to practice law in Virginia.
  • Ability to manage multiple matters efficiently and effectively.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed to practice law in Virginia.
