The successful candidate will have 3-7 years of experience in securities and capital markets transactions, with a strong background in representing public company issuers. This role involves drafting and reviewing SEC periodic reports and other disclosures, consulting on governance matters, and working on a variety of capital markets transactions. Duties:

  • Represent public company issuers in capital markets transactions.
  • Draft and review SEC periodic reports and other regulatory disclosures.
  • Provide guidance on corporate governance matters and ensure compliance with relevant regulations.
  • Manage and support the preparation and execution of IPOs, offerings of common stock, preferred stock, hybrid securities, and high-yield and investment grade debt offerings.
  • Collaborate with clients and internal teams on complex securities matters.
  • Conduct legal research and analysis to stay current with securities laws and market trends.
  • Assist in structuring and negotiating transaction terms and documentation.
  • Offer strategic advice to clients on capital markets and governance issues.

Requirements:

  • JD from a top-tier law school.
  • 3-7 years of experience in securities and capital markets transactions.
  • Proven experience representing public company issuers.
  • Demonstrated ability to draft and review SEC periodic reports and disclosures.
  • Expertise in governance matters and regulatory compliance.
  • Large firm experience with strong academic credentials.
