Senior Contracts and Compliance Counsel The candidate will be reporting to the Chief Legal Officer, will be responsible for supporting Company legal needs across the organization. Will include reviewing, drafting and negotiation of various complex agreement and legal compliance matters, as well as providing legal guidance on a variety of legal issues related to supply chain management, policies, and procedures. Deliver legal services and oversee resources to accomplish corporate goals, strategies and priorities. Draft, review and negotiate a variety of contracts related to supply chain management, including confidentiality agreements, master service and consulting agreements, licenses (including SAAS agreement), and various supply agreements. Oversee post-execution contract matters (e.g., amendments, terminations, payment and performance issues). Develop, support and implement initiatives pertaining to the company's contracting processes to improve efficiency and responsiveness times. Establish a contracts management solution to manage a large and growing volume of contracts. Establish Corporate Compliance Program by developing policies, procedures, and guidance documents through collaborations with departments across the company to ensure compliance initiatives are consistent with Companycore values and mission. Ensure consistent compliance with non-GMP regulatory, contractual, and internal policies and standards. Identify solutions to reduce and mitigate risk and remediate compliance issues. Draft agreements that minimize risks and maximize legal rights. Keep abreast of legislative changes. Provide legal advice, strategic guidance, consultation, and support to management. Lead and assist in developing and delivering effective training, including written materials, and presentations on various compliance topics. Juris Doctor degree and current bar membership in good standing are required. 10+ years combined experience with a large law firm and as an in-house attorney in the biotech or pharmaceutical industry, drafting and negotiating a high volume of contracts and providing compliance legal support. Extensive experience in complex master services agreements, supply arrangements, MTAs, CDAs, etc. Knowledge of privacy law, antitrust, anti-bribery laws and laws and regulations concerning interactions with healthcare professionals. Strong business and legal acumen, with the ability to identify issues and propose solutions. Strong written and oral communications skills. Scientific background or experience working with scientific or technical client-base.
