New York City office of our client seeks capital markets attorney with 2-5 years of experience in transactions, including both debt and equity, as well as corporate governance advisory work, and/or securitizations and structured finance. The candidate should have an interest in capital markets, securities and/or securitization. Should have broad knowledge of industries and sectors, ranging from complex transnational infrastructure financings to sophisticated solutions for banking institutions. Must have experience of a wide range of high-value capital markets transactions, including debt and equity capital markets transactions, initial public offerings, 144A and Regulation S offerings, private placements, securitizations and liability management. International experience is a plus. Must have good understanding of the key risks and issues involved in cross-border transactions. Experience on advising on numerous commercial contracts, in particular underwriting agreements, bond documents (offering memoranda, purchase agreements, indentures, trust deeds etc.), corporate approvals, offering circulars is essential.
