Associate General Counsel The candidate will participate in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance of legal matters and on legal implications of all matters. Will serve as key legal advisor on all major business transactions and oversee commercial matters and work closely with executives and managers in key departments, including operations, product development, IT, intellectual property, finance, licensure, manufacturing, purchasing, sales and marketing, human resources and other corporate/administrative functions. Oversee business compliance with applicable international and U.S. federal, state and local laws and regulations. Judge the merits of legal disputes and court cases filed against or on behalf of the company, work with the appropriate executives to define strategy and approve settlements of disputes. Advise on current and future business structures and legal entities. Develop, maintain and lead an in-house organization of legal and compliance professionals to provide legal and compliance assistance to the company. Responsible for administrative reporting and maintenance of corporate records and contracts. Knowledge, Skills and Abilities (Position Expectations): JD degree from ABA accredited law school. Licensed to practice law in Nevada is needed. Broad base of legal knowledge in multiple practice areas, including compliance, litigation, corporate governance, employment law, intellectual property law, commercial transactions and regulatory matters are essential. Experience in casino/gaming industry and international and U.S. federal, state and Indian gaming law is required. Experience managing other attorneys and supervising support staff and outside legal resources is required. Prior general counsel experience is strongly preferred. Experience in government affairs, lobbying or lobbyists are strongly preferred.
