General Counsel Duties: Advise executives, senior leadership, and the board on various matters such as legal rights, and new and existing laws. Lead legal aspects of transactions, including negotiating, drafting, and due diligence / risk identification. Draft, review and update agreements, documents, and materials for products and/or services offered by all entities. Serve as counsel on general legal matters, retaining and managing outside counsel when necessary. Support Executive Board with key client and regulatory issues. Manage all legal matters for the organization. Maintain knowledge of the organization’s operations and legal documents. Conduct legal research and reviewing the company’s litigation strategy pertaining to legal actions. Create new entities and manage the organization’s intellectual property.
Qualification and Experience
Qualifications: JD Degree required. 10+ years’ experience at a law firm, securities regulator and/or in-house legal department at a large broker-dealer or other financial services company. Experience in the investment management and securities brokerage industries, as well as familiarity with key regulations such as the Securities Act and Securities Exchange Act, Investment Advisers Act of 1940, Investment Company Act and FINRA regulations. Proven general counseling experience in a business environment. Demonstrated leadership, problem-solving, and project management skills, judgment and character. Ability to make prudent legal decisions. Experience with corporate governance issues and the ability to work across business units and functions. Ability to develop legal strategy and objectives. Excellent verbal and written communication skills. Proficient understanding of business sensitivities and confidentiality. Team player with outstanding advocacy and people skills.
