Assistant General Counsel Responsibilities: Work closely with the General Counsel in a small and very active Legal Department to support an organization with 300 staff, 4 offices around the country, and an annual budget of $90M. Help advise senior management on issues including governance, compliance, research ethics, intellectual property, nonprofit and tax law, technology/data security, human resources, and contracts. Advise and support research staff in over 100 research projects on issues related to the projectsâ€™ implementation and operations. Collaborate with project and corporate staff to draft and negotiate legal agreements governing research partnerships with survey firms, research organizations, and consultants; site agreements in evaluation and implementation projects; data acquisition from national, state, and programmatic databases; and commercial vendors. Also includes review and analysis of private foundation and government funding agreements.
Qualification and Experience
Requirements: 3+ years of relevant legal experience, preferably in a nonprofit setting. Comfortable moving between several projects simultaneously and working independently. Ability to assess legal risks posed by organizational activities and mitigate them through creation of contractual vehicles that apportion responsibilities. Knowledge of nonprofit corporate/general corporate law, federal tax-exempt organization law, and the laws governing federal contractors. Proven ability to handle high volume of contract drafting, negotiation, and review. Bar admission in New York. Must be in good standing. Successful writer and communicator with the ability to tailor the communication based on the intended audience. Strong interpersonal skills. Ability to work in a discreet, diplomatic, and confidential manner. Commitment to professional ethics and integrity.
