Job Overview: A law firm is seeking an experienced In-House Business Contracts Attorney to join its Procurement & Contracts team. The successful candidate will be responsible for leading contract negotiations, building strong internal and external relationships, and ensuring that contracts align with the firm's business objectives. This role requires advanced business acumen, legal expertise, and a collaborative approach to handling technology, purchase, and sale transactions.

Duties:

  • Lead contract negotiations, reviewing and drafting business contracts to support the firm's objectives and policies
  • Identify and assess significant business, financial, and legal risks, and develop creative solutions and mitigation strategies
  • Ensure contracts address critical issues such as dispute resolution, payment terms, assignment rights, and data usage/privacy concerns
  • Prioritize multiple contractual reviews to ensure timely delivery and meet client needs
  • Collaborate with internal teams and leaders to understand contract needs for new deals and renewals
  • Align contracts and procurement strategies with legal function priorities, focusing on privacy/data security and risk management
  • Track and incorporate firm policy decisions and preferences into contracts
  • Identify potential risks in business transactions and raise concerns appropriately
  • Contribute to and lead team projects aimed at improving the contracting process

Requirements:

  • JD required
  • 5+ years of experience in contract negotiation, drafting, or related experience in a large law firm or corporation
  • Experience with technology, purchase, sale, software license, content license, outsourcing, professional service, real estate leases, general contractor, and architectural agreements
  • Familiarity with data privacy and security issues preferred but not required
  • Admission to the Bar in the state where the attorney will work
  • Strong proficiency with Microsoft Office programs (Word, Outlook); Excel and PowerPoint skills preferred
  • Advanced knowledge of business contract principles, processes, and industry practices
  • Ability to prioritize and analyze business objectives
  • Excellent written and verbal communication skills
  • Strong analytical and problem-solving abilities
  • Ability to manage multiple projects and meet deadlines under pressure
  • Strong team player with the ability to collaborate effectively with diverse individuals

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Must be admitted to the Bar in the state where the position is based

Skills:

  • Expertise in contract law, negotiation, and drafting
  • Strong communication skills, both written and verbal
  • Advanced analytical skills with the ability to prioritize and manage complex data
  • Ability to build consensus and work collaboratively with stakeholders at all levels
  • Strong attention to detail and the ability to produce accurate, high-quality work
