Job Overview:

A leading law firm in New York is seeking an experienced Real Estate Associate to support corporate transactions, including mergers and acquisitions (M&A), project finance, credit, and related corporate practices. The position presents a unique opportunity to collaborate closely with a senior real estate attorney, providing comprehensive support in corporate/project financings, acquisitions, sales, and bankruptcies. The ideal candidate will have significant experience in real property diligence, negotiating key real estate agreements, and managing all phases of real estate transactions.

Duties:

  • Conduct and manage all phases of real property due diligence, including title review and document analysis.
  • Negotiate and facilitate post-closing deliverables in real estate transactions.
  • Draft and prepare purchase agreements, security instruments, leases, and other ancillary agreements.
  • Provide real estate support for corporate and project financings, mergers and acquisitions, and bankruptcies.
  • Collaborate with cross-practice teams, including corporate, finance, and bankruptcy attorneys, to ensure smooth integration of real estate matters into larger transactions.
  • Assist with regulatory compliance, zoning, and land use issues as they relate to corporate transactions.
  • Provide guidance and strategic advice on real estate issues to clients and internal teams.
  • Manage client relationships and communicate effectively with key stakeholders.

Requirements:

  • Class of 2022 to 2016 (or equivalent experience).
  • Significant experience in real estate law, specifically related to corporate transactions (M&A, project finance, credit).
  • Proven ability to manage and conduct real property diligence and negotiate key agreements (purchase agreements, leases, security instruments).
  • Strong academic credentials and a demonstrated ability to work across multiple practice areas.
  • Prior experience in corporate support, including M&A, is strongly preferred.
  • Excellent communication and interpersonal skills.
  • Strong organizational and project management abilities.
  • Ability to work effectively both independently and as part of a collaborative team.
