Senior Paralegal The candidate will provide assistance with a range of general corporate and commercial matters. Will support a group of lawyers in providing proactive support, strategic analysis, recommendations and advice on commercial legal matters to BNAâ€™s separate businesses in the U.S., Canada and Mexico. Will collaborate with, actively engage and constructively partner with other lawyers and professional staff in the BNA legal department with respect to a broad range of commercial matters. Administer and maintain all subsidiary records, including organizational documents, domestic and foreign registration qualifications and related filing requirements, minutes; stock transfer records and other organizational documentation; Manage service of process and related corporate legal notices and coordinate with the responsible attorney to ensure matters are addressed in a timely manner; Assist in a variety of transactional projects, including financing arrangements and acquisitions and divestitures; Assist, as appropriate, with due diligence investigations in transactions (review of files, corporate documents, title/survey reports, agreements, etc.), including coordinating internal due diligence teams, organizing and administering virtual due diligence data rooms and coordinating and assisting internal and external counsel with the preparation of closing documents; Coordinate with various departments in establishing and implementing the process and procedures for the integration of newly acquired contracts, property, licenses, etc. following acquisitions and handling of post-closing actions items; Maintain and administer the legal department contract management database, ensuring appropriate contract workflow in coordination with a group of commercial attorneys; Assist, as appropriate, with initial contract review, drafting and revisions; Administer and maintain all real estate records, including title and leasehold documents, surveys, easements and similar documents and assist with a variety of real estate matters, including real property purchase and sales transactions, lease renewals and due diligence and related regulatory reporting requirements; Maintain legal department matter management database, including preparing monthly, quarterly, and/or ad hoc reports as requested; Participate in and support legal department initiatives aimed at streamlining legal processes and policies, leading efforts to make the general contract review processes more efficient and ensuring that processes are used consistently; Reinforce organizational initiatives designed to reduce costs by adhering to and promoting the Legal Services Notification and Approvals Policy, including the Guidelines for Outside Counsel Representing Bunge Limited and its Affiliated Entities, and all other applicable policies issued as part of the organizationâ€™s global competitiveness program; Provide Associate General Counsel with frequent and timely updates on pending matters of commercial significance and, if requested, producing regular reports, status updates, project summaries, highlights of key documents and general correspondence; and work with, manage, and ensure cost effective services from outside counsel. Undergraduate degree from a four-year college or university preferred and paralegal certification is essential. Must have 6-8 years of hands-on experience in corporate paralegal capacity. Corporate in-house legal experience working closely with or supporting a wide range of commercial areas preferred. Proficiency in Microsoft Office systems, including Word, Excel and Powerpoint required; and Experience administering corporate entity, contracts and legal administration databases (experience with CSC Entity Management, Ariba contract administration and Thomsen Reuters Legal Tracker a plus).
