Associate General Counsel The candidate will assist the General Counsel in providing, acquiring, coordinating and monitoring certain legal services and legal compliance issues for the organization to ensure firm's and its related organizations are protected through accurate legal advice to avoid losses in accordance with the mission, core values, and purposes of the organization. Will be primarily responsible for the contracting process, including the order creation,management and improvement of the contract creation process in addition to administering and managing all completed contracts, including the accurate maintenance of all documents in the contact database and post execution data check. Recognize and anticipate contract management issues and recommend solutions approval, drafting guidance, exception negotiation and approval, metrics reporting and undertake such other special projects such as contract interpretation and analysis in support of the implementation of the Contract Management System. Responsible for any contract investigation with respect to regulatory concerns or issues if they develop. Provides legal research and written memorandums or other documents offering answers to clients on unique issues. Develop familiarity with STARK, Anti-Kickback and other fraud and abuse requirements with respect to contracting and apply such guidance in drafting documents for the organization. Drafts extensive contracts in many subject areas including service arrangements, employment contracts;loan agreements, service schedules, etc. Serves as an organizational liaison with BIDMC and their counsel and investigators for purposes of negotiations, reviews or evaluations. Assists in providing oversight and review of litigation efforts performed by outside legal counsel. Advises, negotiates,manages and administers contracts into which firm's may enter. Provides legal counsel and guidance to officers, administrators, chief physicians and upper management on legal matters relevant to the organization. Serves on committees designated by General Counsel. Assists the General Counsel in ensuring that the institution remains in compliance with appropriate state and federal regulatory requirements. Assists General Counsel in providing oversight for completing and filing various reports for federal and/or state regulatory agencies. Drafts, reviews and recommends approval of organizational policies and procedures,bylaws, resolutions, handbooks, minutes and other documents related to governance, regulatory compliance and business operations of the organization. Drafts, reviews and recommends approval of contracts and related documents for participation in affiliate arrangements and/or joint ventures. Analyzes a broad range of complex laws and regulations affecting the organization. Performs Human Resources/Employment litigation investigations including witness interviews, document reviews. Provides written summaries and recommendations. Performs Compliance investigations and partners with the Compliance Office in investigations. Will be responsible for witness interviews, document reviews and research of relevant compliance, regulatory and billing standards. Provides written recommendations and summaries. Negotiating with outside parties on contractual issues and legal disputes, including settlement conferences. Negotiating and drafting contracts. Anticipating and mitigating potential legal problems within the organization and developing strategies to avoid costly litigation and reduce potential areas of risk. Review, redline, draft identified contracts. Ensures compliance with new laws (HIPAA) and systems policies. Assists with educating departments in applicable laws and system policies and procedures. Produces written documents containing complete and accurate terms and conditions of a business relationship that benefit the system by identifying, reducing, shifting or eliminating risk. Serves as a liaison for construction, review and conclusion of contract language. Ensures contracts contain offer, acceptance and consideration confirming all elements required to be a legal, binding document are present. Maintains precise documentation of contractual records and retention of resolutions for future situations. Participates in essential meetings. Manage database requirements.
Qualification and Experience
The candidate should have a Juris Doctor degree from an accredited law school. Must have 1 - 3 years of relevant health care, contract management and/or legal experience. Must hold a current license to practice law in the jurisdiction or qualify via the in-house counsel exception under Massachusetts Bar requirements.
