New York City office of a BCG Attorney Search Top Ranked Law Firm seeks a debt finance secured transactions resource lawyer with 3-4 years of corporate experience. The candidate will serve in the Debt Finance Practice, as well as other practice areas that have secured transaction needs, including financial institutions and Latin American groups. Will support these practice areas in secured transactions matters. Be supervised by and work closely with senior lawyers who specialize in secured transactions. Drafting and reviewing various collateral and security documentation (including, perfection certificates, intercompany notes, stock powers and allonges, IP short-form security agreements, control agreements, and collateral schedules). Performing due diligence on collateral. Coordinating with domestic and foreign local counsel on the negotiation of local-law collateral documentation and related workstreams. Drafting and coordinating post-closing collateral documentation (including, but not limited to, joinders of new loan parties and supplemental collateral documentation and annual perfection certificate updates). Reviewing and coordinating UCC lien searches and financing statements, termination statements, and continuations. Assisting the deal teams in reviewing and drafting pledge and security agreements and credit agreement provisions relating to collateral, as needed. Working with junior associates with respect to their responsibilities in relation to the foregoing tasks. Debt Finance secured transactions experience is strongly preferred. Must be admitted to the New York Bar with excellent credentials, and have the ability to communicate effectively, as well as possess strong client service skills.
