Senior Corporate Counsel The candidate will be responsible for providing legal support for our M&A matters under the direction of DMS’s General Counsel. The work covers a wide variety of mergers and acquisition transactions, with responsibility for progressing key legal workstreams, including liaising with key internal and external stakeholders. This role will handle front-line management of deals, including drafting, reviewing and negotiating the key transactional documents, performing legal due diligence, managing outside counsel, facilitating closings and requisite filings and disclosures, managing projects to a budget and leading post-closing integration. As a vital member of the Legal team, this position will work closely with members of the Legal, Operations, Human Resources and Finance teams. This position will also support our general corporate and securities law matters, including any necessary SEC filings. Assist with mergers and acquisitions and other strategic transactions in all stages, from performing due diligence, drafting and negotiating term sheets and definitive transaction documentation, and supporting closing transactions and post-closing integration. Assist with the preparation and oversight of the Company’s SEC filings, including periodic reports, current reports, proxy statements, Section 16 filings, securities offerings and other related filings. Ensure compliance with SEC and NYSE rules and regulations. Provide legal support to the Corporate Secretary, including the drafting, preparation and review of Board of Director meeting materials. Collaborate and provide legal guidance on external communications such as earnings releases, press releases, investor presentations and marketing materials, and the Company website. Provide legal support for the maintenance of the Company’s subsidiaries and for corporate transactions, including any debt or equity transactions undertaken by the Company. Assist in reviewing and negotiating a wide range of legal documents. Draft and assist with the preparation of board and committee meeting materials. Close communication and assistance with both outside and in-house legal counsel as well as with the executive management team. Collaborate cross-functionally with the company’s sales, operations, engineering, information technology, human resources, marketing and finance groups to understand and ensure consistency of agreement terms with the company’s business, financial and risk management objectives. Conduct various additional other legal and ad hoc projects as required. Provide support as a general resource for various business units. Other duties may be assigned. Active license to practice law in good standing with admission to at least one (1) state bar required. Should have 4+ years of experience in the practice of law required (in-house or law firm). Must have strong contract drafting and transactional background. Must have ability to draft, negotiate and interpret all types of contracts. Must have the ability to work independently while being able to contribute successfully to cross-functional teams.
