Corporate Associate Attorney Candidate must have: A JD Degree from a top-tier law school with a strong GPA; status as an attorney in good standing in the State of Texas (or state of residence if reside elsewhere); 4+ years of experience working in a sophisticated transactional practice with the following specific characteristics: experience with securities, M& A, corporate governance, project finance, commercial transactions, fund formation, venture capital, employment, real estate and/or private equity legal matters; experience with trusts and estates, wealth management and tax would be helpful; meticulous attention to detail; superb drafting skills and experience drafting purchase agreements, PPMs, registration statements, operating agreements, charters, bylaws, committee charters, subscription agreements, NDAs, PIIA agreements, employment agreements, IRAs, ROFRs, merger agreements, commercial contracts and/or resolutions; a commitment to producing work product of the highest quality, and doing so efficiently; a commitment to working ethically and always in the best interests of clients; a desire to work in a flexible and collegial work environment where lawyers take their work, but not themselves, seriously; a willingness to work in a demanding setting where criticism and collaboration are expected, as is ongoing effort to improve; and interest in working for pedagogical attorneys with a commitment to associate development.
