Director and Associate General Counsel
The candidate will participate in all phases of healthcare transactional and regulatory compliance projects, ranging from business case development, due diligence, definitive agreement drafting, review and negotiation, closing and post-closing activities, and collaborating with fellow firm Teammates to operationalize new business lines. Work with clinical and business leads to draft, review, and negotiate contracts, including contracts related to professional services, software licensing, employment agreements, memoranda of understanding, and many other third-party vendor agreements. Analyze federal and state healthcare laws and regulations including, for example, the Anti-Kickback Statute, the Civil Monetary Penalties law, the Stark Law and HIPAA. Provide practical legal advice to all functions of the organization to support daily business operations, firm Talent Management (human resources) Department. Advise senior management in connection with strategic initiatives and priorities through the provision of high-quality legal advice and guidance. Proactively Identify and evaluate changes in the law that may impact the organization and provide guidance on such changes that is consistent with firm mission and core values. Coordinate with the firm Director of Compliance to provide advice related to Medicare Advantage marketing and other Medicare Advantage guidelines. Assist with internal investigations and fact-finding when needed. Support the work of the General Counsel and the Department of Enterprise Services as a whole. Uses, protects and discloses firm patients’ protected health information (PHI) only in accordance with Health Insurance Portability and Accountability Act (HIPAA) standards. Performs additional duties as assigned. Juris Doctorate Degree from an accredited law school, with admission to and member in good standing of the Pennsylvania Bar required. 4-10 years of practice, preferably with significant large firm experience, and with a primary focus on healthcare law required. Proven track record of success facilitating progressive organizational change and development within a growing organization required. Ability to prioritize, balance, and effectively advance multiple competing priorities in a high-volume, fast-paced environment required. Ability to interact in a professional and collaborative manner with fellow firm Teammates and the clinicians, patients, and business partners with whom we work required. Ability and desire to challenge and educate yourself in order to support and advance firm mission to transform healthcare delivery in the markets we serve required. Excellent judgment and creative problem-solving skills including negotiation and conflict resolution skills required.
