The General Counsel as a member of the Executive Management team is responsible for advising and aiding Executive Management on all matters that are legal in nature for both the business and any private legal matters of the CEO. This position requires an experienced General Counsel, heavy contracts. Prefer a background in the technological industry who understands the legal issues from both a domestic perspective and an international perspective.
ESSENTIAL DUTIES AND RESPONSIBILITIES
Key Responsibilities include but not limited to
Contract Review – Review and Negotiate all company contracts, including sales contracts for domestic and international; conference, training and professional services agreements; employment agreements; real estate contracts and leases; vendor contracts and leases; and all other agreements
Human Resources and Labor/Employment Issues – work closely with the Human Resources department to ensure that all laws, regulations and company policies are complied with; assist in recruitment; instrumental in employee contracts; training of supervisor and management to documentation of employee performance. Work with immigrations for international employee employment.
Insurance Policy Reviews – Manage company’s insurance policies – General Commercial Liability; E&O; Property and International to make sure company is afforded appropriate protection. • Litigation – Assist in managing all company litigation, both domestic and international as required. Assist in supervising any outside counsel used on litigation matters and to help minimize costs.
Provide Legal Guidance to Management to minimize company’s risk of litigation. • Administration –Work closely with management team and legal department staff on an ongoing basis to ensure legal department is working at all times towards the primary goals of the company. Establish an understanding of the company’s revenue recognition policies to make sure contracts are consistent with those policies.
Review all marketing materials to make ensure company is protected legally when marketing materials are published and disseminated • Corporate Compliance – manage all aspects of corporate compliance, including licenses, annual filings, board minutes and related assignments. • Intellectual Property – manage company’s intellectual property portfolio, including patents and trademarks, to ensure that all I.P is protected.
• Personal Matters – work closely with CEO on all private and personal legal matters as assigned
