Senior Corporate Counsel The candidate will join the Commercial Legal Team to support the company's go-to-market sales organization. Will be responsible for alignment and dedicated support to the company's Global System Integrators/Outsourcers vertical, supporting the leadership directly and working with other various stakeholders (attorneys, contract managers, finance, deal management, business units, etc.) to further the company's business with the partners/customers in this vertical. Provide expert, valued advice and counsel to the company's sales teams, business units, and other stakeholders on go-to-market strategy, current and potential legal and commercial issues, industry specific knowledge, and transactional guidance; with specialization in and focus on global systems integrators, outsourcing, and/or consulting partners and strategic alliances. Draft, review, and negotiate a broad range of commercial agreements, and assist, manage, and lead other attorneys and contract managers to do the same, including cloud/software-as-a-service, software licensing, professional services, and data privacy, as well as channels partner, marketplace and alliance route-to-market agreements. Lead and manage complex, high value transactions. Stay on top of and proactively address changing regulations, industry and market trends, and technology, and effectively work with a variety of business, finance and legal stakeholders to develop and implement resulting practices that support innovation and growth while maintaining appropriate protections and safeguards for the company. Develop various enablement and training materials for the company's stakeholders, including sales/business units, channels partners and end customers, focusing on the specific industry standards, trends, and developments. Drive and/or assist with various legal department projects that support the legal department goals, including the company's transition to a cloud services company, as well as efforts to develop, implement and enhance processes that improve transaction velocity and scaling without material increases in risk. Act as a fiduciary for the company, driving compliance in day-to-day sales activities, including providing training and counseling to sales professionals and coordinating with other groups within the the company's legal department on compliance matters.
Qualification and Experience
The candidate should have a J.D. degree from an accredited US law school. Should be a member of a State Bar and in good standing. Certifications from recognized privacy associations (such as a CIPP certification from the IAPP) are preferred. Must have 12+ years of transactional legal experience with big law firm or in a fast-paced corporate legal group for an enterprise technology company. Experience with corporate alliances, channels, system integration/integrators, outsourcing/outsourcers is required. Experience in SaaS transactions with a company of similar size and scale to the company is needed. Intellectual Property experience or expertise is preferred. Experience in other areas of in-house counsel expertise, such as employment, ethics and compliance, product support, privacy and security, and M&A is also preferred.
