Corporate Counsel â€“ Transactional, Licensing and Contracts Duties: Draft and negotiate a wide range of legal documents typical of a biotech or pharmaceutical research organization including license agreements, MTAs and research collaborations with academic institutions, agreements with NIH and other governmental entities such as CRADAs, development and supply agreements, funded research agreements, grant agreements, and various vendor services agreements. Advise internal clients on contract interpretation, dispute resolution, IP ownership and other legal risks. Assist with the development of policies and procedures, and standard template language to be used in contracts. Mentor, train and advise contract specialists in the Corporate Legal department on the preparation, negotiation and execution of form-based documents. Provide legal advice and support for existing alliances and partnerships. Work with Corporate Development team and other departments within the company to support strategic transactions. Work with other legal teams in a corporate litigation support function as needed, particularly in drafting settlement agreements.
Qualification and Experience
Requirements: JD Degree from a nationally recognized law school. Admitted to practice (preferably in California). BS in life sciences or related field preferred. 5+ years in a law firm and/or in-house advising on, drafting and negotiating agreements, including significant experience with transactions in the biotechnology or pharmaceutical industry advising clients on both business and legal issues. Prior experience with or exposure to agreements with academic institutions and/or the NIH and other governmental entities preferred. Prior experience with or exposure to international regulatory processes for pharmaceutical products and laws and regulations governing clinical trials preferred. Ability to manage and serve a wide range of clients within the company by recognizing and responding quickly and pragmatically to urgent situations and demanding clients. Exceptional and demonstrated written and verbal communication skills. Appropriately triage a heavy workflow, setting appropriate priorities with clients and delivering results efficiently. Ability to think creatively, devise solutions to challenging problems and effectively drive legal and business issues to closure. Exercise mature and reliable judgment while enjoying the companyâ€™s enthusiastic, informal and fast-paced environment. Ability to work independently and as a team.
