Associate General Counsel The candidate will be advising and driving process on all legal aspects of strategic and corporate finance transactions, managing securities work and SEC filings as needed. Supporting various efforts related to corporate development, corporate governance, and investor relations. Supporting the General Counsel in connection with all corporate legal matters relating to Lulus Board of Directors and related committees; maintaining committee charters and other key governance documents; refining and managing corporate governance policies and procedures in accordance with legal requirements; partnering with the General Counsel and key stakeholders in connection with corporate structural matters and related decision-making. Working cross-functionally across legal matters including commercial contracts, privacy, and data security matters, employment and litigation matters, IP and technology licensing, compliance and international, transactional matters, and legal operations. Contract drafting, negotiation, editing and review. Developing and overseeing corporate compliance matters, including corporate governance and ethics, federal and international standards concerning product sourcing, FTC rules and regulations, including advertising practices, product content, and quality representations, CPSC rules and procedures, federal and state health and safety laws concerning lead and other environmental contaminants, and federal and state laws regarding the sale of certain goods. Advising business and provide risk analysis on new and ongoing initiatives regarding compliance matters. Managing company-wide privacy and data protection compliance processes in partnership with other cross-functional teams, including conducting data mapping reviews, rolling out internal- and external-facing notices and policies, and managing and advising on internal compliance procedures. Providing support for investor relations and equity programs. Selecting and managing outside counsel. Supporting ad hoc legal requests of almost every size and type; pitching in wherever needed to create a great experience for our internal business clients and our customers while adequately addressing risk. Bar Membership in good standing in the United States; California, Delaware, or Pennsylvania bar admission a plus. J.D. or L.L.M. from an accredited U.S. law school required. 5+ years of relevant experience, with corporate securities, experience strongly preferred. Ability to provide timely and pragmatic legal advice and to translate complex legal issues into digestible, business-oriented terms required. Excellent communication, project managing, and collaboration skills required. Practical, creative, and proactive problem-solving skills required. Ability to work well with a small, tightly knit team, and the range to deal effectively and respectfully with everyone from senior management to operations and warehouse personnel while balancing competing needs and deadlines required. Corporate governance experience at a high-growth startup and/or public company a plus. Experience advising on legal and regulatory considerations in the e-commerce and/or fashion apparel space, including familiarity with FDA, FTC, CPSC, and data privacy regulations a plus. People management experience is a plus.
