Corporate Paralegal Duties: Create and distribute Annual Reports. Drafting authorizing resolutions (particularly for commercial real estate deals with. complicated upper tier organizational charts). Forming, converting, registering, and dissolving entities (primarily in Colorado and Delaware, but experience with other states is a plus). Preparing simple-form operating agreements, articles, bylaws, assignments, etc., for review by an attorney. Preparing stock certificates. Maintaining minute books, organizational charts and signature block lists for the entities of certain key clients. Working with the IRS in connection with obtaining and resolving issues related to employee identification numbers. Preparing (for review by an attorney) and filing Form Ds with the SEC and Blue. Sky exemption materials with state securities regulators (private placements). Must be a team player and possess: strong organizational skills, attention to detail, a â€œtake charge/can doâ€ attitude, as well as excellent communication and writing skills. Experience with electronic minute book programs such as hCue, helpful.
Qualification and Experience
Qualifications: Bachelorâ€™s degree or paralegal certification. JD Degree will be considered, and 5+ years' experience preferably in a law firm environment. This individual will support a busy general corporate practice group. Some real estate experience is helpful.
