Intellectual Property Counsel
The candidate works closely with senior scientific and business partners to identify and protect innovations, develop and execute an IP portfolio strategy, and communicate business-relevant legal advice. Reports to the Senior Counsel IP supporting a wide range of intellectual property matters relating to the company worldwide R&D program and commercial operations. Businesses and products may span cytometry, genomics, bioreactors, life sciences integrated and automated solutions, reagents, workflows, systems and software. Occasional domestic and international travel may be required in the future. Serves as trusted counsel on all IP issues locally and globally (with a particular focus on invention mining, patentability, patent prosecution and freedom to operate). Creates IP strategies aligned with business and strategic plans. Integrate and engage cross-functional teams in execution. Leads outside counsel in the preparation and prosecution of patent and trademark applications. Negotiates, drafts, and reviews agreements such as licenses, research agreements, collaboration agreements, confidentiality agreements and material transfer agreements. Conducts freedom to operate assessments on emerging technology. Conducts due diligence in connection with a range of strategic transactions, including substantial collaborations and M&A transactions. Guides senior legal and business partners in IP litigation and other adversarial proceedings, such as European Oppositions and US IPR proceedings.

Qualification and Experience

The candidate should have a Juris Doctorate degree with excellent academic credentials from an accredited law school, an educational background, or industry experience in biology, chemistry, physics, and/or biomedical engineering. Should have an active Bar membership in one or more US jurisdictions and admitted to practice before the U.S. Patent and Trademark Office. Must have 4-9 years of relevant experience in either a law firm or as in-house counsel, depending on the degree(s). Should preferably have experience as in-house counsel. Demonstrated high integrity and ethics in all dealings, non-political in conduct, while understanding internal and external dynamics are needed. Strong negotiation, communication, problem-solving, and analytical skills and able to communicate complex IP issues in business terms across a spectrum of partners are essential. Should possess the ability to evaluate and balance both legal and business factors when providing advice, and communicate complex issues in clear business terms.
