Paralegal
Responsibilities: Assisting in drafting, negotiating, and interpreting software licensing agreements, including client counseling regarding the use of open-source software. Assisting in drafting, negotiating and client counseling related to product development contracts, product sales contracts, technology licenses, and other agreements with customers and technology development partners. Preparing contracts summaries and assisting with contracts management functions. Reviewing technical papers and presentations, engineering publications, and other external communications for legal compliance. Working as part of the broader corporate team, including engineering, sales, business groups, finance and operations, to support transactions and other legal or business initiatives.

Qualification and Experience

Qualifications: Paralegal certificate or comparable training. 2+ years of experience as a transactional paralegal or contracts negotiator. In-house corporate legal department experience is preferred. A proven understanding of U.S. law pertaining to contracts and software licensing, including open source software licenses. Experience with source code auditing/compliance tools (for example Black Duck, WhiteSource, FlexNet/Revenera) is preferred. Strong interpersonal and communication skills. Ability to efficiently and effectively lead multiple simultaneous projects from basic to complex under time pressure, while maintaining attention to detail. A team-player with a good sense of humor.
