Division Counsel Duties: Researching and analyzing general corporate, transactional and regulatory issues (and preparing related summaries and memoranda). Reviewing, summarizing and revising existing client contracts, leases and other documents. Performing transactional due diligence and otherwise assisting the firmâ€™s deal teams. Reviewing and drafting of non-complex asset and stock purchase agreements and related documents. Handling of non-complex entity formations (including preparation of organizational documents, bylaws, simple operating or shareholder agreements, minutes, etc.). Drafting and negotiating routine contracts (including non-disclosure agreements, vendor contracts, leases and other commercial agreements) and real estate leases. Participation in secondment opportunities within client organizations. Performance of other corporate and transactional tasks as assigned by firm attorneys.
Qualification and Experience
Candidate must be licensed in the jurisdiction in which they will be practicing. Must have excellent law school and undergraduate academic credentials, as well as strong writing and analytical skills. Must have significant firm or in-house counsel experience handling corporate and transactional matters, tech transactions, financial services and/or healthcare (regulatory). Will generally be expected to be able to practice with discretion in their areas of expertise, but will also be provided direction and supervision as appropriate.
