Associate Counsel- Part-Time
The candidate will report directly to our Senior Counsel and indirectly to our Chief Compliance Officer. Should have strong command and knowledge of legal matters, and confidence in advising senior management on all issues associated with compliance, regulatory requirements, and certain business issues with legal implications. With the Senior Counsel, provide legal support to the Discretionary Services Team on a wide range of legal matters for discretionary clients. Perform fund reviews for discretionary clients on a range of investments, including alternative investments, and negotiate side letters, investment management agreements and other legal documentation as needed. Provide legal support to the Senior Counsel, head of compliance and other business heads as needed with respect to a variety of day-to-day matters, such as client agreements, vendor agreements, legal training, employment and benefit matters, litigation and strategic projects. Research and report on regulatory matters affecting the firm and our clients, with a particular emphasis on matters relating to investment management and ERISA. Identify and participate in various projects to improve the firm’s processes and procedures.

Qualification and Experience

The candidate should have 3-8 years’ legal experience and a working knowledge of the legal issues surrounding the provision of investment advisory services and investments by institutional clients. Such experience would ideally have been gained within the corporate or investment management departments of a large law firm and/or in-house with an established investment manager, investment advisor or other provider of discretionary investment services or with a hedge fund, private equity fund or similar. Primary legal experience should involve understanding of federal securities laws, corporate law, and regulatory requirements associated with the investment management industry. Experience with issues associated with investments by ERISA plans and/or with tax-exempt entities is desirable. Should have JD and State Bar Association licensure (Massachusetts or New York preferred).
