Legal Compliance and Governance Specialist
The candidate will be responsible for providing support to the Legal Department and Corporate Governance function of firm under the direction of the Director of Corporate Governance. Work as a member of a cross-functional legal team to address general legal compliance support and corporate governance needs of the Association. role will be required to interact with staff and senior management on various tasks to add efficiency and value to the Legal Department and Corporate Governance function. Additionally, will be expected to work cooperatively, efficiently, and effectively to complete projects/assignments as requested. Serve as the Legal Department Compliance Manager, and in that role will assist and conduct policy and procedure reviews and updates and assist and conduct regulatory and compliance related tasks, as well as be relied upon for some credit compliance guidance. Provide organizational support for Legal Department resources and support for subpoena responses and other correspondence. In addition, will provide support for the Association’s corporate governance function, including assisting with the Nominating Committee and election processes, Board and committee meetings, and corporate records management. Provide primary support for reviewing, updating and effective organization and maintenance of all Legal Department resources including Association policies and procedures owned or authored by Legal Department team members. Provide support for onboarding and maintaining legal matter management technology with the oversight of General Counsel. Regulatory and compliance related tasks including quarterly compliance related testing of various business processes, including OFAC, whistleblower and criminal referral processes. Assist in preparing and proofing various litigation and legal reports, under attorney supervision. Support with maintaining a database of approved counsel, communication with staff on issues relating to outside counsel and preliminary responses to subpoenas and discovery requests, under attorney supervision. Support the corporate governance process and the Director of Corporate Governance (including responsibilities related to the Nominating Committee processes, Director election processes, Board and committee meetings and support and compliance under supervision of the Director of Corporate Governance). Prepare and maintain internal governance and corporate documents under the supervision of the Director of Corporate Governance. Assist with legal credit related compliance tasks and questions. Monitor best practices, keeping up with trends and introducing new ideas for improving performance. Research legal issues and engage in fact gathering and checking to provide support on all assigned legal matters. Additional duties and projects as assigned. Makes independent decisions when appropriate; works under general direction from the Director of Corporate Governance. Should have BA or BS degree and/or paralegal certificate and/or 8 or more years of related experience in the financial industry. A demonstrated interest in the legal field is a plus. Knowledge of commercial lending and documentation is a plus. Knowledge or interest in corporate governance is a plus.
