Corporate Counsel The candidate will present the opportunity for a business minded attorney to put their legal knowledge and problem-solving skills to work in support of a high energy sales organization in selling enterprise IT products and services to public sector customers. Will be supporting and serving as an escalation point for firm's Corporate Sales, Contracts, Programs and Proposal teams as they work with various client account teams selling products and services for over 70 different vendors through more than 50 contract vehicles and hundreds of different VAR and Integrator partners. Negotiating with business leaders and counsel to sign new vendor clients and resale partners. Overseeing contract compliance. Managing various corporate legal matters including template development, training, claims and protests, government relations and legal research to develop corporate positions. Review and negotiate terms and conditions for the sale of enterprise IT products, services and subscriptions to public sector customers. Negotiate agreements and necessary addenda with new vendor clients, partners and customers. Draft and review consulting services, teaming, subcontract, non-disclosure agreements and Statements of Work with clients, partners and vendors. Assist with managing compliance issues arising from government procurements. Assist in the preparation of proposals for IT products and services involving leased/financed transactions, XaaS delivery models, enterprise license structures and other complex transaction/vehicles. Assist in development and implementation of corporate policies and procedures. Draft and revise standard contract forms and templates as required. Provide proactive and practical legal counsel and training to all business and functional staff regarding legal matters including federal, state and local legal compliance matters as well as with a wide variety of commercial business transactions. Advise and problem-solve with the business and functional leaders on complex business transactions, ethics and business conduct, contract terms and conditions, and risk management. Maintain knowledge and awareness on current laws and implementing regulations, and coordinate with business management and functional staff to track, educate and affect government regulations, policies and government relationships. Work with outside counsel and consultants to support government solicitation responses, contract negotiations, and dispute resolution. Develop, maintain and apply proper processes, practices and guidelines in close coordination with other functional and operational leaders. Engage with customer counterparts as required in support of complex legal/business transactional matters.
Qualification and Experience
The candidate should have Juris Doctorate degree from an accredited law school and valid State Bar membership. Must have 3 years of experience supporting sales of IT products through public sector government contracts as counsel (law firm or in house) or as a contracts professional. Must have strong background and relevant experience in all aspects of federal, state and local procurement including both contract preparation and transactional negotiation. Excellent oral and written communications skills is required.
