Director of Legal
Responsibilities: Assist with the creation, review and negotiation of commercial agreements, including those involving research, health care professionals, distributors, manufacturing, customers, and vendors. Review relevant SEC filings (e.g. 10-K and 10-Q) and assist in drafting proxy statement. Supervise and direct the activities of external counsel to the Company. Advise executives on the legal risks and terms of various business transactions and agreements. Conduct legal research and explain and interpret legal language as necessary. Keep abreast of legislative changes that may affect the Company and its affiliates. Assist with the management of litigation. Assist the General Counsel in ensuring that the Company’s legal objectives are met. Support the SI-BONE quality system and Compliance program. Other responsibilities and duties as requested from time to time. As needed, provide training on substantive legal and compliance topics. Assist with corporate governance and Board of Director matters. Assist with providing advice, supporting, and conducting due diligence relating to corporate financing initiatives, in-licensing arrangements, and acquisitions.

Qualification and Experience

Expertise: Results and execution-oriented. Advanced negotiation and communication skills. Keen ability to assess ongoing risk while maintaining a business focus. Friendly and collegial disposition. A proven leader and self-starter. Well-organized, detail-oriented and a strong team player. Solid knowledge of commercial and corporate law, laws affecting medical device companies, especially in the areas of transactions. Some exposure to relevant FDA law and/or corporate compliance issues (FCPA, Anti-Kickback Statute, etc.) is preferred. Bachelor’s degree. Should have JD from an accredited law school. Must have relevant law license; California preferred. 5 years’ experience in private and corporate law settings.
