Corporate Paralegal The candidate will maintaining our internal records. Maintaining our corporate minute books (all 30+ of them in 15 different countries). Drafting routine resolutions, governance documents, corporate forms and agreements (with assistance from the Corporate Securities Manager and Corporate Counsel). Attending the Department of Foreign Affairs and International Trade, and various embassies to authenticate and legalize documents. Preparing for and attending quarterly international subsidiary board meetings, including corresponding with local directors and service providers. Providing support on various securities, merger & acquisition, corporate, and governance projects and issues as they arise. Communicating with the team’s internal business clients in support of all the above. Reviewing current processes and implementing new ones to improve team efficiency, productivity and impact. Requirements for the role. A Paralegal, Law Clerk or undergraduate degree with equivalent professional experience, Experience with subsidiary maintenance either in-house or at a law firm. Incredible organizational and time management skills. This role involves handling multiple projects, initiatives, and stakeholders simultaneously, and executing to completion in a timely manner. You must be able to prioritize well, work efficiently, and demonstrate flexibility as workloads fluctuate with minimal supervision. Keen observation skills and a proactive approach to solving problems. This means you have a hunger to learn, are resourceful, and are genuinely curious about the way things work. Meticulous attention to detail. Exceptional oral and written and communication skills. This means you have the ability to communicate with a wide variety of audiences about complex situations using plain language. A solutions-oriented mindset to help support the business, take on work, and help the team. Strong interpersonal skills as you will be working with many different internal and external stakeholders. A deep desire to learn continuously and thrive on change. Bonus Experience. Corporate securities experience at a public company. International subsidiary management experience.
