Corporate Counsel The candidate responsibilities will include: Advising senior management, business managers, business development personnel and other personnel on all aspects of commercial transactions, as well as various laws and regulations affecting the company's businesses. Negotiating and drafting of contracts, including service agreement, bank agreements, marketing agreements intellectual property licenses, consulting agreements, non-disclosure agreements. Coordinating all legal aspects of transactions, including counseling on deal structure, drafting letters of intent/term sheets, conducting or supervising due diligence, drafting and/or reviewing transaction documents and briefing senior management prior to final approval. Managing various projects and deadlines. Strengthening and maintaining the compliance function including conducting internal compliance reviews. Advising executives on contract status, legal risks and business terms of various deals. Providing assistance with joint ventures, strategic partnership deals, and mergers and acquisitions. Researching unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes. Keeping abreast of legislative changes that may affect the company and its affiliates. Performing pre-litigation work to minimize risks and maximize legal rights. Reviewing advertising and marketing materials to ensure compliance with legal requirements. Developing solutions to complex legal questions. Providing training to company and its affiliates on substantive legal topics. Developing the organization's policies on industry-specific issues, corporate governance or regulatory affairs. Analyzing and summarizing complicated legal documents including contracts; making suggestions for alterations of those documents. Anticipating and mitigating potential legal problems within the organization and developing strategies to avoid costly litigation and reduce potential areas of risk. Developing forms and templates for business initiatives. Other assignments. Must have Graduation from an accredited law school; current registration in the Utah Bar. Should have 2-5 years of experience in the practice of law after admittance to the Bar. Experience and expertise in one or more particular fields of legal specialization including anti-money laundering, prepaid card rules and regulations, credit card rules and regulations, and other payment related fields is preferred. Must have knowledge concerning legal issues involving financial entities. Deadline : 3 May 2019.
