The ideal candidate will have 4-7 years of experience in corporate law, with a focus on mergers and acquisitions (M&A) and private equity transactions. Duties:

  • Advise clients on a variety of corporate matters, focusing on mergers, acquisitions, and private equity transactions.
  • Draft and negotiate key documents related to M&A and private equity deals, including purchase agreements, shareholder agreements, and term sheets.
  • Provide strategic counsel to clients on complex corporate structuring and financial matters.
  • Collaborate with colleagues across various practice areas to ensure comprehensive legal advice for clients.
  • Represent clients in negotiations, managing client relationships, and advising on potential legal risks.
  • Stay informed on the latest legal developments and trends in M&A and private equity, applying this knowledge to benefit clients.

Requirements:

  • 4-7 years of experience in corporate law with a focus on M&A and private equity.
  • Proven track record of handling complex corporate transactions and negotiations.
  • Strong analytical skills and the ability to assess legal and business risks.
  • Excellent written and verbal communication skills.
  • Ability to work efficiently both independently and as part of a team.
  • High level of professionalism and client-focused approach.

Education:

  • Juris Doctor (JD) degree from an ABA-accredited law school.
  • Strong academic credentials.

Certifications:

  • Admission to the California State Bar or eligibility to gain admission promptly.

Skills:

  • Expertise in corporate law, specifically M&A and private equity transactions.
  • Proficiency in drafting and reviewing corporate legal documents.
  • Excellent negotiation and communication skills.
  • Ability to manage multiple complex transactions and deadlines.
