A law firm in Chicago, IL, is seeking a talented Corporate Funds and Private Equity Associate Attorney. The ideal candidate will have 4-6 years of experience in investment funds and investment management, including substantive experience representing private equity sponsors and/or agents across a broad range of transactions. The role demands creativity, a solutions-oriented mindset, and exceptional analytical and writing skills. Candidates must be licensed and in good standing in the state of Illinois.

Duties and Responsibilities:

• Provide expert legal advice on investment funds, including private equity, hedge funds, and venture capital funds.
• Represent private equity sponsors and agents in various transactions, including fund formation, capital raising, and investment structuring.
• Draft, review, and negotiate complex legal documents such as limited partnership agreements, subscription agreements, and offering memoranda.
• Conduct comprehensive legal research and prepare detailed reports, memoranda, and other legal documents.
• Assist in structuring and negotiating investment transactions, including joint ventures, mergers and acquisitions, and strategic investments.
• Advise clients on compliance with securities laws and regulations affecting investment funds and private equity transactions.
• Collaborate with other legal professionals to develop and implement effective legal strategies for clients.
• Stay up-to-date with developments in investment fund law, private equity trends, and regulatory changes to provide informed legal advice.

Requirements:

• 4-6 years of experience in investment funds and investment management.
• Substantive experience representing private equity sponsors and/or agents in a wide range of transactions.
• Proven ability to handle complex legal issues related to investment funds and private equity.
• Creative, solutions-oriented approach with strong analytical and problem-solving skills.
• Excellent writing and communication skills.

Education:

• Juris Doctor (JD) from an accredited law school.

Certifications:

• Licensed and in good standing to practice law in the state of Illinois.
