The ideal candidate will possess 4-10 years of experience in corporate law, with a strong background in mergers and acquisitions, privately-held businesses, contract review and analysis, capital raising, loan document review, and corporate governance. The Corporate Attorney will provide expert legal counsel to the firm's clients, ensuring compliance with applicable laws and regulations while facilitating business transactions and growth.
Key Duties:
- Provide legal advice and support on various corporate matters, including mergers and acquisitions, corporate governance, and business structuring.
- Draft, review, and negotiate contracts and agreements, ensuring that all documents are legally sound and in the client's best interest.
- Assist clients with capital-raising activities, including private placements, venture capital financing, and other funding mechanisms.
- Conduct thorough due diligence for mergers, acquisitions, and other business transactions.
- Review and analyze loan documents, ensuring compliance with applicable laws and client interests.
- Advise privately held businesses on various legal matters, including entity formation, governance, and operational issues.
- Stay current with changes in corporate law and regulations, providing timely updates and guidance to clients.
- Represent clients in negotiations, mediation, and other dispute resolution processes as necessary.
- Collaborate with other attorneys and legal professionals to deliver comprehensive legal services.
- Develop and maintain strong client relationships, fostering trust and confidence in the firm's legal expertise.
Requirements:
- A Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with the State Bar of North Carolina.
- 4-10 years of relevant experience in corporate law.
