Stock Plan Administrator and Corporate Paralegal The candidate will assist Senior Paralegal / Director, Stock Administration in administering and managing equity incentive programs and ensuring all equity transactions (including grants, vesting events, exercises and cancellations) are accurately processed, settled and recorded in a timely manner. Will work with third party broker and transfer agent on daily restricted stock unit vesting activity and stock option exercises, ensuring accurate and compliant tax withholding and reporting. Reconciles monthly, quarterly and yearly activity of records between Human Resources, Payroll, Accounting and the equity awards platform. Assist with Section 16 reporting obligations, including preparing drafts of, and filing, Form 3s and Form 4s. Works with internal and external auditors for quarterly reviews, year-end audits and ensures that internal controls and procedures are followed. Drafts equity and trading window related employee communications. Assist with the development and implementation of employee educational materials. Provides excellent customer service to equity participants at all levels by responding timely to questions in a professional and courteous manner. Collaborates on implementing and identifying areas for streamlining and increasing efficiency. Assist firmâ€™s Head of Corporate and Securities with annual Proxy Statement and Shareholder Meeting mechanics as well as corporate housekeeping, including entity formations, dissolutions, qualifications and maintaining database of subsidiaries and organizational chart. Bachelorâ€™s Degree, paralegal certificate is preferred. Should have 3+ years of experience in legal / SEC reporting for a publicly-traded company, or equivalent experience as a corporate paralegal in a large law firm. Working knowledge of SEC, NYSE and Section 16 reporting requirements are needed. Excellent written and oral communication skill is needed. Research and report generating skill. Proficiency with Google Suite (mail, docs, sheets, etc.) and Microsoft Excel.
