A law firm is seeking a highly experienced Mid-to-Senior Tax-Exempt Organizations and Philanthropy Associate Attorney to join their team in Irvine, CA. The candidate will be responsible for advising tax-exempt organizations and philanthropists on various legal and tax-related issues. The role requires significant experience in managing complex matters for private foundations, charitable organizations, and large nonprofit entities. This position will involve extensive client interaction, providing counsel on federal and state tax compliance, corporate governance, mergers, and philanthropic efforts.

Duties and Responsibilities:

  • Provide legal advice to private foundations and charitable organizations on complex legal and tax matters.
  • Form and obtain tax exemptions for nonprofit corporations and charitable trusts.
  • Advise private foundations on grant agreements, tax compliance, and succession planning.
  • Counsel philanthropists making charitable gifts and utilizing donor-advised funds.
  • Advise large 501(c)(3) organizations on corporate governance, tax exemption matters, and Unrelated Business Taxable Income (UBTI).
  • Structure mergers, affiliations, and joint ventures between nonprofits.
  • Advise on complex structures involving both for-profit and not-for-profit entities.
  • Represent tax-exempt organizations during federal and state audits related to tax and charitable issues.
  • Collaborate with clients to address and resolve tax-related controversies.
  • Draft legal documents, policies, and agreements for clients in compliance with tax-exemption regulations.
  • Provide strategic counsel for clients on the creation and operation of public charities and private foundations.

Education and Certifications:

  • Juris Doctor (JD) from an accredited law school.
  • Active Bar membership in California or the ability to become a member within a reasonable period.

Required Experience and Skills:

  • Experience advising tax-exempt organizations, philanthropists, and nonprofit entities on tax and legal issues.
  • Demonstrated experience with private foundations, public charities, and the formation of nonprofit entities.
  • Strong knowledge of Internal Revenue Code Section 501(c)(3) and tax compliance for nonprofit organizations.
  • Expertise in corporate governance, nonprofit mergers, and joint ventures.
  • Proficiency in managing complex tax-exempt and for-profit structure integration.
  • Strong analytical and problem-solving skills, particularly in tax compliance and legal research.
  • Excellent communication skills, both verbal and written, with the ability to advise clients clearly and concisely.
  • Ability to manage multiple high-level projects simultaneously and work collaboratively in a fast-paced environment.
