Associate General Counsel The candidate adheres to Integer Values and all safety, environmental, security and quality requirements including, but not limited to: Quality Management Systems (QMS), Safety, Environmental and Security Management Systems, U.S. Food and Drug Administration (FDA) regulations, company policies and operating procedures, and other regulatory requirements. Provides in-house legal counsel on a variety of commercial and operational issues, which may include, but is not limited to, reviewing, drafting and negotiating customer and supplier contracts, joint development agreements, licensing agreements and non-disclosure agreements for a broad client base including operations, sales, marketing, supply chain and engineering. Provides practical, real-world business-oriented advice to business partners. Ensures compliance with all applicable laws, regulations and policies. Identifies and assesses legal risks and opportunities within the commercial and operational area of a specific Product Category and advises accordingly. Participates in and influences the decision-making process with appropriate executive clients and stakeholders. Drafts key documents and presents clear recommendations to top management. Independently handles legal matters and projects ranging from basic to complex. Collaborates with other internal legal centers of expertise (Labor & Employment, Securities & Corporate Governance, Mergers & Acquisitions and Intellectual Property) as needed to address legal matters for internal clients. Elevates certain matters to the attention of the General Counsel or other legal centers of expertise as applicable. Supervises, manages, and evaluates outside counsel if outside counsel engagement is required. Establishes and maintains relationships, credibility and trust with clients, stakeholders, legal team members and other colleagues. Performs other duties and functions as required. Must have Juris Doctorate (JD) from an accredited School of Law. Must have Licensed and a member in good standing with a State bar. Must have 5+ years of substantial experience with a corporate legal department and preferably at least three years with a nationally recognized law firm. Should have experience interacting at a senior level with business management. Experience counseling clients on commercial matters in medical device manufacturing preferred. Knowledge of international law a plus.
