Assistant General Counsel The candidate assumes primary responsibility for preparation of assigned agreements, contracts and other third-party arrangements which create rights or duties of firm and conducts or participates in negotiations of complex and important contracts. Primarily responsible for ensuring preparation and maintenance of a legal policies and procedures manual. Investigates and prepares analysis of laws and regulations governing licensing and contracting, including regulations issued in the antitrust, copyright, patent, personnel, labor, environmental and other government regulated areas. Reviews and comments and makes recommendations concerning firm policies and procedures which have legal implications. Participates in meetings of management committees for the purpose of staying informed, giving advice and making recommendations regarding the legal aspects of operating and policy matters being considered for decision. Participates with outside counsel where necessary due either to the requirement for specialized knowledge or workload and maintains proper liaison with and supervisions of outside counsel. With the General Counsel, coordinates the assignment of legal matters to outside counsel as necessary. Assists in governance matters and in preparation of materials for meetings of the Board of Trustees as requested by the Secretary. Provide guidance and opinions on local, state, federal and international tax matters. Maintains, at all times, communication as required to keep the General Counsel fully informed of legal matters affecting firm and its affiliated companies. JD degree or LL.B. is required. Seasoned experience in corporate legal department, a large law firm or combination. Minimum five years legal experience is needed. Member of Ohio Bar is essential.
