Venture Capital Counsel The candidate will provide expert intellectual property and transactional legal advice and service on investments, strategic transactions, technology development/commercialization agreements, and complex intellectual property matters. Will take direction as appropriate from key senior member(s) of the IP/legal and/or investment team(s). Provide legal advice and service on early stage and strategic investments, strategic development/commercialization agreements, and complex intellectual property matters comprising IP development, licensing and litigation, including international aspects of all of the above. Manage legal process and due diligence for early stage investments. Draft and negotiate term sheets for investments, strategic partnerships and development agreements; and related definitive agreements. Provide advice to groups on intellectual property strategy; and secure patents, trademarks and/or copyrights. Provide advice on shareholder/board consent(s). Manage outside counsel.
Qualification and Experience
The candidate should have a J.D. degree from a top ABA accredited law school. Bachelor's degree in science or engineering is required. Should be admitted to the California Bar and in good standing, or eligible for registered in-house counsel status in California. Registration to practice before the USPTO as a patent attorney a plus. Must have 5-10 years of legal experience. Should have experience drafting/negotiating venture financing transactions. Experience drafting/negotiating complex international technology, intellectual property & patent license agreements is needed. Should have experience working directly with top caliber business executives, scientists, engineers, inventors. Venture capital, finance and international experience a plus. Financial modeling experience an asset.
