Associate Responsibilities: Represents public and private companies in a variety of transactions and guide these companies in their general corporate governance matters. Responsible for drafting primary and ancillary acquisition transaction documents and mange the due diligence process for these M&A transactions, including drafting due diligence memorandums and analyzing target company agreements and documents. Also expect to lead due diligence teams.
Qualification and ExperienceQualification: Must have 3 – 5 years of legal work experience handling public company M&A, private company M&A and/or private equity M&A work in a range of transactions, including acquisitions, joint ventures and corporate governance and currently working at a large AmLaw 100 law firm. Admission to the California bar is required or eligibility to obtain admission promptly. Must also have a firm understanding of both the industry and evolving market terms, superlative drafting experience, excellent academic credentials, and can be flexible to work within teams and manage parts of transactions independently.
