Paralegal – Application The candidate will under the direction of the General Counsel, the paralegal position organizes and maintains electronic and paper files; monitors electronic dockets; maintains trademarks; assists in corporate governance, compliance, and record-keeping functions; conducts preliminary review of contracts; manages compliance with the group exemption; and assists the Office of General Counsel by providing a variety of support duties. Will organize and maintain paper and electronic files as directed. Perform other clerical duties such as scheduling appointments, providing information to callers, composing and typing routine correspondence, scanning/photocopying, and reading and routing incoming mail. Perform support duties such as making travel arrangements, planning meetings, and preparing and filing expense reports. Monitor electronic dockets as directed; calendar key events; correspond with outside counsel as necessary. Monitor and maintain trademarks as directed; file appropriate maintenance filings with U.S. Patent and Trademark Office; provide assistance in registering new trademarks. Assist in corporate governance functions for corporations of the National Setting as directed, including but not limited to drafting resolutions, reviewing and maintaining minutes, scheduling board meetings, and collecting information from board members as directed. Assist in corporate record-keeping functions for corporations of the National Setting as directed, including but not limited to filings required by the secretary of state. Manage compliance with group tax exemption in accordance with the established process; communicate regularly with subordinate organizations and provide reports as required. Review contracts and manage existing contracts. Assist in corporate transactions and real estate transactions when required. Research (case law and statutory) as directed and the preparation of memoranda to the General Counsel as directed. Associate’s Degree in Paralegal Studies, or equivalent education is needed. Should have 4-6 years of experience in a paralegal position with responsibility for trademark and corporate governance or nonprofit governance functions. Large law firm and/or nonprofit legal department experience is preferred. Litigation management experience is also preferred. Excellent written and verbal communication skill is needed. Microsoft Outlook, Word, Excel, and PowerPoint is needed. LexisNexis (preferred) or WestLaw is essential. Concur Solutions (or other electronic expense reporting software) is needed. Adobe Acrobat or similar PDF software, including the ability to combine electronic documents, edit PDFs, and electronically label PDFs is essential.
