Director, Corporate Counsel The candidate will advise the Company and its senior management in the areas of SEC reporting and compliance, corporate governance and strategy, corporate financing and M&A transactions, public company matters, and subsidiary entity management. Play a key role in drafting and advising on SEC and NYSE filings. Coordinate Board of Directors-related matters, including relevant research and drafting and preparation of materials for Board meetings. Provide counsel regarding compliance with SEC rules, NYSE listing standards, Sarbanes-Oxley standards, and all other applicable corporate governance requirements, as well as relevant corporate governance, executive compensation, investor relations, and public company policies, processes and issues. Counsel the Treasury group on securities transactions, including debt offerings, banking agreements, and other Treasury matters. Advise the Corporate Development team on M&A and other transactions, including drafting and/or reviewing related agreements. Oversee general corporate and transactional matters, including oversight of corporate record-keeping and subsidiary. Ensure best practice in corporate governance and Board process. Manage and meet legal regulatory requirements occasioned by SEC and NYSE rules, Sarbanes-Oxley and Dodd-Frank. Successfully execute M&A and financing transactions. Manage and meet all corporate secretarial requirements of parent and subsidiary companies. Should have 5-7 years of experience in law firm with a strong background in securities, corporate, and capital markets laws, with sufficient experience to handle responsibilities with minimum supervision. Should have JD degree.
