Chief Legal Counsel Duteis: Manage staff and outside counsel to ensure good, timely and accurate legal advice is afforded Health System and its entities. Provide legal counsel and guidance to officers, directors, and staff of Health System and its entities relative to general corporate compliance, organizational policy and ethical business practices. Plan, provide overall oversight and assign personnel to Health System initiatives, including corporate defense. Ensure compliance program encourages regulatory compliance and ethical conduct. Perform independent and highly confidential investigations to determine if compliance and/or ethical problems exist, and develop remediation recommendations and plans as necessary. Provide leadership, management and negotiation for dissolutions, divestitures, mergers and acquisitions. Recommend organizational objectives and long-range plans to achieve strategic goals, mission and vision of System. Select, retain and manage outside counsel and legal expenses for Health System. Participate in the development, structure and negotiation of major contracts for Health System. Provide labor and employment guidance to ensure regulatory compliance (e.g., EEOC, DOL, FMLA, ADA, NLRB, Affirmative Action, etc.) as well as just treatment of staff. Negotiate settlements. Serve as a role model to staff and credible representative for System. Legal Counsel to the Health System Board of Trustees and committees (Audit, Finance, Governance, Quality, Investment Review & Worklife) and committees (myself or designee)Â providing advice and guidance to the board on exercise of its fiduciary duties and to ensure informed decisions and satisfaction of the business judgment rule. Serving as Corporate Secretary. Providing legal review of all board materials prior to meetings. Drafting board resolutions. Minutes for board & committee meetings (ensuring adherence to legal requirements & good governance practices). Reviewing, updating and maintaining corporate documents for Health System legal entities (e.g. articles of incorporation, certificates of formation, bylaws, operating agreements, partnership agreements, etc.). List infrequently performed and non-essential tasks. Ensure compliance with Federal and State grants. Educate law enforcement, media, and legislators about health care legal issues. Assist in identifying insurers, educating chosen insurance company, and negotiating premiums for SYSTEM insurance.
Qualification and Experience
Qualifications: JD Degree from an accredited law school; health care education preferred. Member in good standing of the California Bar. 10 years’ experience in health care regulation and/or law. 5 years’ experience managing staff. Preferred: Health care background and law firm experience preferred. Extensive knowledge and understanding of health care and provider operations. Extensive knowledge of exempt organization requirements, fraud and abuse, false claims act, health plans and reimbursement, licensing, bond issuance requirements and bond covenant compliance, antitrust law, and accreditation standards. Excellent communication skills; both verbal and written. Utmost discretion in maintaining appropriate confidentiality, as well as extensive knowledge of attorney-client privilege. Ability to manage professionals and motivate for excellence in performance. Ability to manage significant work load and prioritize projects appropriately. Computer skills adequate for creating written documents, document management and performance of legal research. Ability to create department budgets and manage operations within them. Excellent interpersonal and organizational skills. Excellent analytical and advocacy skills.
