Corporate Counsel The candidate will negotiate, draft, manage, and if necessary seek approval for, the execution of agreements such as software license agreements, confidentiality agreements, distributor and channel sales agreements, consulting agreements and marketing agreements. Will draft non-standard agreements for attorney review and approval. Draft in-house forms, instructions and checklists for in-house and intranet use. Assist attorney by providing input on agreement-related processes to clarify procedures, train clients, and minimize delays in agreement processing. Review and analyze bids and proposals for compliance with general company policy.Review terms and conditions of bids, proposals, and customer agreements to mitigate legal risk. Coordinate responses from engineering, manufacturing, legal and other involved departments with the sales group to prepare for final execution of bids proposals and customer agreements. Create custom agreements, as needed. Conduct negotiations with customer to ensure the company risk is minimized and the revenue is maximized. Review contracts and coordinate contract requirements with engineering, manufacturing and other involved departments to ensure contract compliance. Maintain constant liaison with all involved departments to process questions and resolve problems and variances that may occur during the contract term. Create amendments to agreements of moderate to complex nature. Train lower level staff; perform other related duties as assigned.
Qualification and Experience
The candidate should have JD degree and minimum of 3-5 years’ experience in contract drafting and negotiation. Previous experience in a corporate legal setting and contracts and software licensing experience is required for this role. Should have superior organizational, problem solving, interpersonal, and communication skills, and be adept at managing across all levels in the organization. Advanced career level knowledge of commercial contracting practices is essential. Should have advanced and comprehensive knowledge of contract construction and administration, as well as company policies, procedures and marketing strategies. Bachelors (or equivalent work experience) is essential. Fluent in English is preferred.
