Senior Tax Manager, M&A and Audit The candidate will be responsible for and report to the Director of M&A Tax in managing the tax strategy of firm’s third-party acquisitions, divestitures, minority investments and support associated corporate wide integrations of third party acquisitions. Will take direction from the Senior Director of Tax Audits and Controversy and will be responsible for certain project management work associated with the audit including providing direction to the tax compliance team on information needed to fulfill document and tax analysis requests from tax examiners. Will support from time to time the Business Unit Tax Planning Group on third-party strategic joint ventures initiated by the business unit’s Business Development personnel, as well as business unit led integrations of acquisitions involving entity, shareholding, and other strategic integration initiatives. Partners with Corporate Development Department on modeling of tax rates and attributes of proposed transactions. Leads M&A projects as may be assigned by the M&A Tax Group Leader. Although this position will not have any direct reports, you will be have matrix reporting responsibility for leading a team of domestic and international tax professionals that may be assisting on M&A projects. Conducting your own tax due diligence on proposed Target companies being evaluated by the Corporate Development Department, managing other Tax team project members on conducting tax due diligence, and/or managing outside advisors on M&A tax due diligence related to proposed transactions. Drafting and communicating findings effectively, efficiently and timely, as well as advising on ways to minimize tax risks discovered during due diligence reviews. Reviewing and/or drafting (or managing outside advisors that will be drafting) tax representations, warranties, covenants, indemnifications, escrows and such other appropriate tax language in deal agreements. Advise and suggest creative long and short term M&A tax acquisition and integration structuring solutions that takes into consideration both short and long term ETR and Treasury needs. Collaborate with the Controllers Group and Tax Accounting Group on M&A acquisition projects you lead for deferred and current tax expenses with third-party “purchase accounting†valuations, and tax valuations to support acquisitions, divestitures, minority investments and post-acquisition integrations. Support the tax integration of acquisitions and minority investments. This may involve supporting a Business Unit or Functional Area Leader in the tax department on integration, or leading certain integrations as needed. Bachelor’s Degree in Business Administration, Finance, or Accounting, or an advanced degree with comparable emphasis in business, accounting, or taxation is essential. Must have 10+ years of tax experience in a law firm, large corporate in-house Tax Department or public accounting setting with M&A tax experience; or, 8+ years of tax experience in a law firm, large corporate in-house Tax Department or public accounting setting with M&A tax experience with a Masters in Tax or LL.M. in Taxation or other advanced taxation degree. Experience with one or more of the following areas: US federal tax rules including Subchapter C, Subchapter K, consolidated returns, taxable and nontaxable reorganizations, and solid understanding of inbound, outbound U.S. tax rules as well as foreign tax credits and Subpart F U.S. international tax law rules is essential. Certification, such as CPA, Enrolled Agent, or attorney licensed by the Bar in at least one state is essential. Advanced degree in taxation is needed. Must have 3+ years of M&A tax experience.
